Boulder Consolidates 100% of Indian River Gold Project.

) to convert Western's 30% interest in the Indian River Gold Property to a royalty interest royalty interest

. The overall effect is that Boulder will own a 100% interest in the Indian River Gold Property located in the Yukon.

The Indian River Gold Property is a core asset of Boulder and this agreement cements Boulder rights to it whilst reaffirming Western's focus on uranium interests in Mongolia. The essence of the agreement was for Western to satisfy underlying obligations of Western to the original vendors of the Property in concert with Boulder accelerating its' existing payments to Western. In return, Western is converting to a royalty interest as described below.

Of the Cdn$225,000 in remaining payments Boulder pays Western Cdn$100,000 now and will pay the additional Cdn$125,000 by year-end. Boulder will apply for the immediate issue to Western of the remaining 700,000 units. Each unit is comprised of a common share and one half warrant. Each full warrant is exercisable into one common share of Boulder for a period of one year at a price of Cdn$0.14 per share. Boulder must still incur cumulative expenditures on the property of Cdn$5 million prior to December 31, 2007 of which approximately Cdn$1.5 million has been spent to date. Boulder will be credited for all bulk testing expenses under the new terms. Western will be entitled to a net smelter return royalty of 2% escalating to 3% over the next three years. . Of note, all NSR interests are reduced to one half of the said amounts if the production is from "hardrock" sources.

Boulder will assume the Owner's position with respect to the two Lease Operators active on the Indian River Property and as such is entitled to collect the 10% Royalty on all gold produced by the Lease Operators from this date forward.

The agreement is subject to the approval of the Board of Directors of Boulder and Western and is also subject to regulatory approval.

Boulder is currently mobilizing crew and equipment for an aggressive program of defining gold resources and establishing operating parameters for future mining considerations.

Boulder Mining Corporation also has the right to earn a 100% interest subject to a 3% royalty interest in the Tevrede Project from Helio Resource Corp (TSX VENTURE:HRC HRC Human Rights Campaign
