Acquisition to Create Tightly Integrated,

Real-time Subscriber Management and Billing Solution for Carriers

Seeking to Deliver Postpaid, Prepaid or Hybrid Services

Boston Communications Group, Inc. (NASDAQ: BCGI), a leader in transaction processing solutions for real-time wireless subscriber management and payment services, today announced it has signed a definitive agreement to acquire the assets of Infotech Solutions Corporation, a privately held provider of billing software solutions for the wireless marketplace.

Infotech Solutions will enable bcgi to deliver a suite of solutions to wireless carriers for handling all aspects of postpaid, prepaid and hybrid subscriber management. This will include comprehensive point-of-sale capabilities, inventory management, real-time transaction processing for voice, data and m-Commerce, proactive voice messaging, Web-based customer care, and payment processing. Whether integrated to existing legacy software or implemented end-to-end, this suite of solutions will empower carriers to attract, retain and maximize high value subscribers while lowering the cost of customer care, payment processing and churn.

Under the terms of the agreement, bcgi will acquire the assets and certain liabilities of Infotech Solutions for cash, plus certain additional payments, contingent on the achievement of specified revenue targets over a three year period. The acquisition has been approved by the board of directors of each company and the closing is expected to occur during the fourth quarter of 2002, subject to various closing conditions.
