Boston Beer Co. files initial public offering of 5.3 million shares of common stock.

The Boston Beer Co. filed on August 24th with the Securities and Exchange Commission two registration statements relating to the company's initial public offering of 5,312,801 shares of Class A common stock.

The company and certain shareholders plan to offer 4,322,801 shares of Class A common stock in an underwritten offering to be managed by Goldman, Sachs & Co., Alex. Brown & Sons Inc., Hambrecht & Quist LLC, and Advest, Inc.

In addition, prior to the underwritten offering, the company plans to offer 990,000 shares in a best efforts offering targeted to consumers of its products with Alex. Brown & Sons Inc. and Advest Inc. as placement agents. Any shares not sold in this best efforts offering will be added to the shares to be offered in the underwritten offering.

The combined offerings will include 2,540,379 shares offered by the company and 2,772,422 shares offered by selling stockholders. Prior to this offering, there has been no public market for the company's Class A Common Stock.

The company notes that "registration statements relating to these securities have been filed with the SEC but have not yet become effective. These securities may not be sold, nor may offers to buy be accepted prior to the time the registration statement becomes effective."
