Borland Announces Early Termination of Hart-Scott-Rodino Waiting Period for Pending Acquisition of TogetherSoft Corporation.

Borland Software Corporation (company) Borland Software Corporation - A company that sells a variety of PC software development and database systems. Borland was founded in 1983 and initially became famous for their low-cost software, particularly Turbo Pascal, Turbo C, and Turbo Prolog.  (Nasdaq:BORL) today announced that the Federal Trade Commission has granted early termination of the required waiting period under the Hart-Scott-Rodino Antitrust Improvements Act The Hart-Scott-Rodino Antitrust Improvements Act of 1976 (Public Law 94-435, known commonly as the HSR Act) is a set of amendments to the antitrust laws of the United States, principally the Clayton Antitrust Act. The HSR Act was signed into law by President Gerald R.  with respect to Borland's pending acquisition of TogetherSoft Corporation.

The transaction remains subject to approval by the California Commissioner of Corporations after a fairness hearing, approval by TogetherSoft stockholders and other customary closing conditions. The transaction is currently expected to close in January, 2003.
