Boca Research Announces Proposed Changes to the Composition of its Board of Directors.

) today announced the proposed composition of its Board of Directors since the Infomatec Integrated Information Systems AG purchase of approximately 19.9% of the outstanding Boca Research common stock, pursuant to the common stock purchase agreement. The changes to the Board increased the number of Directors from eight to nine.

Pursuant to the stock purchase agreement with Infomatec, four members of Infomatec's management team have been appointed to Boca Research's Board. The new Board appointees will stand for election at Boca Research's Annual Meeting, to be held on August 16, 1999. New Board appointees from Infomatec include Karl Gruns, chief financial officer, Gerhard R. Harlos, co-chief executive officer, Alexander Haefele, co-chief executive officer and Edward Will, chairman and chief executive officer of Infomatec International AG, a subsidiary of Infomatec.

Also standing for election at the Annual Meeting will be Boca Research's Chairman, Robert W. Ferguson and four of Boca Research's current outside directors, Arthur R. Wyatt, professor at the University of Illinois University of Illinois may refer to:
