: PT) Extraordinary General Meeting was convened this afternoon to deliberate on a share capital increase through the issuance of new ordinary shares to be subscribed for in kind by the shareholders of Telesp Celular Participacoes, S.A., in connection with Portugal Telecoms's proposed offer, announced on May 21, 2001, as well as certain other issues relating to the proposed offer.

Having decided not to proceed with the proposed offer at its meeting of September 4, 2001, the Board of Directors of Portugal Telecom decided to withdraw the proposals presented on the agenda.
