All proceeds from the potential sale of shares would go to the selling stockholders.

Because the shareholders participating in the shelf registration are affiliates of the company, any public sales by them of their Blackbaud shares prior to the time that the registration statement is declared effective are subject to the volume limitations of Rule 144.
