The issuer of the bonds is the Black Hawk Business Improvement District, which is a quasi-municipal corporation and political subdivision of the State of Colorado, organized for the purpose, among others, of providing financing for public improvements, and services that primarily benefit the commercial properties within the District. The District consists of three parcels of property owned by Black Hawk/Jacobs Entertainment, L.L.C. and comprising the site of The Lodge Casino at Black Hawk. The cost of the improvements to be financed with the proceeds of the bonds, as well as the cost of issuing the bonds, will be assessed against the Lodge properties. The bonds are series bonds issued in the aggregate principal amount of $6 million and were placed by American Frontier Financial Corporation. The bonds carry an interest rate varying between 6.25% and 6.5% and mature at various times up to and including December of 2011. Stephen R.
