Black Box Corporation Announces Merger With Carey Systems Company.

PITTSBURGH--(BUSINESS WIRE)--July 11, 2000

Black Box Corporation (Nasdaq:BBOX) today announced a merger with Carey Systems Company. Established in 1993 near Dayton, Ohio, privately-held Carey Systems provides technical design, installation and maintenance services for premise cabling and related network products to customers in the greater Dayton region. The Carey Systems operations will be combined with the existing Dayton branch of Black Box Network Services -- Cincinnati. Annual revenues of Carey Systems approximate $2 million.

James H. Courtney, President of Black Box Network Services -- Cincinnati, said, "Carey Systems is an outstanding premise cabling company and a great addition to our Dayton branch. In addition to complementing our significant presence in nearby Cincinnati, this merger further rounds out Black Box's ability to provide world class technical support to customers throughout all of Ohio."

Eric M. Carey and Kimberly L. Carey, owners of Carey Systems, said, "We are excited about the opportunities that this merger will bring to our customers and our employees. After integrating Carey Systems with Black Box's existing Dayton branch, the Careys will retire to pursue other interests. James W. McAfee, General Manager of Black Box Network Services in Dayton, will manage the combined operations.

This transaction is being accounted for as a purchase. The purchase price has not been disclosed.
