DeCrane, Jr. as a member of the board. Mr. DeCrane fills a vacant position on the Company's board of directors. Mr. DeCrane, 67, is former chairman of the board and chief executive officer of Texaco Inc. Mr. DeCrane joined Texaco in 1959 and served in a variety of senior management positions until his retirement in 1996. He was elected to Texaco's board of directors in 1977 and was elected president in 1983, chairman of the board in 1987 and chief executive officer in 1993.
