"This is an excellent opportunity for Biovail to enhance the launch of Cardizem(R) XL," said Eugene Melnyk, CEO (1) (Chief Executive Officer) The highest individual in command of an organization. "The combination of both sales forces allows us to exceed our goal of having 800 representatives behind this product at launch. It also reduces the execution risk associated with the launch of a new therapy and allows Biovail to begin detailing physicians in January 2003 with an experienced cardiovascular sales force, immediately following the launch of the product to the trade later in the fourth quarter of 2002. With the support of Reliant's sales force, we anticipate an expansion in the frequency and number of physician calls that can be achieved, which should translate into greater market penetration for Cardizem(R) XL."

Reliant will be compensated by way of a tiered royalty on a portfolio of Biovail products that it will promote according to this agreement and therefore, Reliant's financial compensation is tied to the success of the promotion of these products. The companies will form a joint Promotion Committee to capitalize on the strengths of each company. In addition, Biovail will participate with some of Reliant's existing lenders in providing a term credit facility to Reliant.

"Reliant is extremely pleased to be working with Biovail on the co-promotion of these outstanding brands, as well as assisting Biovail with the launch of Cardizem(R) XL. The promotional synergies between our product portfolios offer a unique opportunity to maximize the value of Teveten(R) and Cardizem(R) XL, as well as that of our own growing cardiovascular franchise that includes Lescol(R) and Lescol(R) XL, for cholesterol management," said Joseph Krivulka, President of Reliant.
