:BVF) announced today that it has filed a preliminary short form prospectus with the securities regulatory authorities in each of the provinces of Canada and with the U.S. Securities and Exchange Commission with respect to the issue to the public, on an underwritten basis, of 4,400,000 common shares. The common shares are being qualified for distribution in all of the provinces of Canada and are also being registered as being eligible for distribution in the United States under the multijurisdictional disclosure system.

 on September 17, 1999, the Company estimates that the net proceeds from the offering, after deducting underwriting fees and expenses, will be approximately US$235.3 million. Certain shareholders of the Company have granted the underwriters in the U.S. syndicate an option in respect of 660,000 common shares to cover over-allotments, if any. If the over-allotment option is exercised, the Company will not receive any of the proceeds from the sale of shares by the selling shareholders.
