Net income before income tax and before the non-recurring gain was $224,383 compared to $1,035,486, a reduction of 78%. The Company had record revenues for fiscal year 1998 of $46,553,730, a 20% increase over its revenues for fiscal year 1997. The increase in net revenues is primarily attributable to the April 9, 1998 acquisition of Medilabs, Inc. ("MLI MLI Mali (ISO Country code) MLI Multi-Layer Insulation MLI Member of the Landscape Institute MLI Multiple Link Interface (ODI) MLI Millstreet Industries Inc. "). The decrease in operating income and adjusted net income was primarily attributable to the increase in expenses due to the acquisition of MLI. In the fiscal year preceding its acquisition, MLI incurred a loss of over $1.6 million. For the seven month period commencing with the acquisition and ended October 31, 1998, MLI incurred a net loss of only $120,000. Dr. Marc Grodman, President and Chief Executive Officer, stated "This year's results were expected due to the acquisition of MLI last April and the operation of two parallel facilities within 30 miles of each other. Given the low reimbursement levels of the acquired business, the maintenance of accounts was critical to the success of the transaction. While we have cut the expenses of MLI, and progressively merged more functions into the parent lab, we have also maintained the MLI business. In November 1998, MLI was formally awarded a contract for laboratory services for the New York New York, state, United States New York, Middle Atlantic state of the United States. It is bordered by Vermont, Massachusetts, Connecticut, and the Atlantic Ocean (E), New Jersey and Pennsylvania (S), Lakes Erie and Ontario and the Canadian province of State Department of Corrections, a significant portion of which was previously serviced by MLI. The estimated annual revenues of this contract is approximately $6 million. As we continue to merge the operations, and decrease excess capacity, we expect the greater synergies will be accretive to earnings in the future." Dr. Grodman continued, "The recent transaction, whereby Quest Diagnostics Quest Diagnostics Incorporated (NYSE: DGX) is a United States corporation which provides clinical laboratory services . The company also has a business presence in England and Mexico. Quest Diagnostics is a member of the Fortune 500 and the S&P 500. purchased the clinical laboratory unit of Smith-Kline Beecham, PLC for a value of over 90% of annual revenues, shows there is a significant disparity between the public market valuation of clinical laboratories and the values upon which transactions within the industry are based. This year, the Company will continue to grow our existing business and continue to seek ways to merge our two operations so as to improve profitability. However, the real key to creating greater shareholder value is to demonstrate how the information clinical laboratories generate is part of the overall process by which quality and efficient health care may be achieved. The Company, as in the past year, continues to seek out transactions which will accomplish that goal."
