Mr. Koos stated that both Tasco and BMXP anticipate that each will, by shareholder action, subsequently change their corporate name following the closing of the transaction and, in the case of Tasco, in accordance with the requirements of Section 14C of the Securities Exchange Act of 1934. These plans call for Tasco to change its name to Bio-Matrix Scientific Group Inc. and for BMXP (the Pink Sheet Company) that currently carries that corporate name, to change its name to avoid confusion.

BMXP, a Delaware corporation, is currently known under its corporate name, Bio-Matrix Scientific Group, Inc. BMXP anticipates that it will continue to trade on the Pink Sheets and will become, upon closing of the transaction with Tasco, the largest shareholder of Tasco holding approximately 78% of the outstanding shares of Tasco.

As currently planned, BMXP intends to file a registration statement with the SEC to register the Tasco shares it acquired in the transaction under the Securities Act of 1933 and distribute those shares to BMXP shareholders as a dividend upon effectivity of the registration statement. The record date for the planned dividend distribution has not been established by BMXP's Board of Directors.

Mr. Koos also stated that the sale of BMSG Nevada subsidiary to Tasco was motivated in part because Tasco's common stock is traded on the OTC Bulletin Board OTC Bulletin Board

. He noted that the OTC Bulletin Board is viewed as offering the potential for greater access to institutional investors. We believe that institutional investors are important to the company, as they may be able to facilitate a more rapid implementation of the business model and potential future revenues streams."

Mr. Koos also updated the status of BMSG Nevada's new Stem Cell Cryogenic facility, "Currently, the processing laboratory is under construction and should, based on our current estimates, be completed by the end of August 2006. Once completed, the facility will undergo extensive testing. The Class 10,000 clean room labs should be completed by the end of August 2006. The company currently anticipates that if third party commitments the company has received remain on schedule, the company believes it will be ready for specimens in the first part of the 4th quarter of 2006."
