. The Company sold 150,000 shares of restricted common stock at five dollars per share and issued 150,000 warrants to purchase 150,000 shares at an exercise price of $7.50 per share. The warrants will expire on March 29, 2006, if not exercised. The offer and sale of the 150,000 shares and warrants was made in reliance upon the provisions of the United States Securities Act of 1933, as amended.
