) ("Big Flower" or the "Company") announced that at a meeting of stockholders held today, the Company's stockholders approved the merger of Big Flower with BFH BFH Bundesfinanzhof

 Merger Corp., an affiliate of Thomas H. Lee Company and Evercore Capital Partners LP.

Under the terms of the merger, which are set forth in the Amended and Restated Agreement and Plan of Merger, dated October 11, 1999, public stockholders will receive all cash consideration of $31.50 per share of Big Flower common stock held.

Big Flower expects the merger to close during the fourth quarter of 1999.
