Beverly Plans to Offer $100 Million of Convertible Subordinated Notes.

:BEV) today announced that it intends to offer, subject to market and other conditions, $100 million in principal amount of Convertible Subordinated Notes due 2033 (the "Notes"). Beverly anticipates using the proceeds of the Notes -- along with a portion of the previously announced $225 million senior secured credit facility it is finalizing -- primarily to pay existing indebtedness, including but not limited to $180 million of its 9% Senior Notes due 2006. The Notes will be general unsecured obligations subordinated in right of payment to its existing and future senior indebtedness. The Notes will be convertible at the option of the holder under certain circumstances prior to maturity into shares of Beverly's common stock at a conversion price to be determined. Beverly expects to grant the underwriters in this offering a 30-day option to purchase up to an additional $15 million of Notes to cover over-allotments.

The offering of the Notes will be made only by means of a prospectus supplement to be filed under Beverly's existing shelf registration statement.
