As a result of the merger, each outstanding share of BHAL other than treasury shares and those shares held by management and certain affiliated shareholds, will be converted into the right to receive $3.00 in cash, with interest. All unaffiliated shareholders will be cashed out at $3.00 per common share and these shareholders will not retain any equity interest in BHAL on a going forward basis.
