Benz Energy Inc. (VSE:BZG) today announces that it has filed a SB-2 registration statement with the United States Securities and Exchange Commission. The Company is seeking registration under the Securities Act of 1933 for the resale of the Company's Class A, Series II Convertible Preferred Stock, the resale of the common stock to be issued upon conversion of such Preferred Stock, and resale of the common stock issued earlier in 1999. All of the securities being offered are by selling securityholders and no securities are being offered directly by the Company.

The securities will be offered and sold only pursuant to the Prospectus contained in the Registration Statement.
