: AMX) (NASDAQ: AMOV) (BMV: AMX) and Texas-based SBC Communications Inc. ("SBC") (NYSE: SBC), today announced it has signed an agreement to acquire a significant interest in Tess S.A., one of the two B Band cellular operators in the Brazilian State of Sao Paulo.

Under the terms of the agreement, Telecom Americas will acquire effective ownership of the equity of Tess, with a majority of the voting rights continuing to be held by the sellers, in accordance with the regulations governing ownership of B Band licenses. Telecom Americas has agreed to invest US$950 million. The transaction, which is subject to lender approval and validation by Brazilian regulatory authorities, is expected to close during the first quarter of 2001.

Tess serves approximately 940,000 subscribers in the Brazilian State of Sao Paulo excluding the Metropolitan Sao Paulo region ("Sao Paulo Coast and Interior"). The Sao Paulo Coast and Interior is one of the most prosperous regions of Brazil Brazil is currently divided in five regions, by the Instituto Brasileiro de Geografia e Estatistica (IBGE). These divisions are composed by states with similar cultural, economical, historical and social aspects, and although through the scientific point of view information given by this , with 18.4 million residents (approximately 11% of the national population) generating approximately 20% of Brazil's GDP GDP (guanosine diphosphate): see guanine. . Three of the operations - ATL (Active Template Library) A set of software routines from Microsoft that provide the basic framework for creating ActiveX and COM objects. Stemming from the standard template library (STL) that comes with C++ compilers, ATL includes an object wizard that sets up , Tess and Americel - operate in the contiguous regions of Rio de Janeiro, the Sao Paulo Coast and Interior and the Central West, which includes the Federal District of Brasilia.
