S.A. de C.V. ("America Movil") (NYSE NYSESee: New York Stock Exchange : AMX) (NASDAQ: AMOV) (BMV: AMX) and Texas-based SBC Communications Inc. ("SBC") (NYSE: SBC), today announced it has signed an agreement to acquire a significant interest in Tess S.A., one of the two B Band cellular operators in the Brazilian State of Sao Paulo. Under the terms of the agreement, Telecom Americas will acquire effective ownership of the equity of Tess, with a majority of the voting rights continuing to be held by the sellers, in accordance with the regulations governing ownership of B Band licenses. Telecom Americas has agreed to invest US$950 million. The transaction, which is subject to lender approval and validation by Brazilian regulatory authorities, is expected to close during the first quarter of 2001. Tess serves approximately 940,000 subscribers in the Brazilian State of Sao Paulo excluding the Metropolitan Sao Paulo region ("Sao Paulo Coast and Interior"). The Sao Paulo Coast and Interior is one of the most prosperous regions of Brazil Brazil is currently divided in five regions, by the Instituto Brasileiro de Geografia e Estatistica (IBGE).
