On April 28, 1999 a lawsuit was commenced in the United States District Court for the Northern District of California The United States District Court for the Northern District of California is the Federal district court whose jurisdiction comprises following counties: Alameda, Contra Costa, Del Norte, Humboldt, Lake, Marin, Mendocino, Monterey, Napa, San Benito, San Francisco, San Mateo, Santa on behalf of all persons (the "Class") who purchased or otherwise acquired securities of McKesson between October 18, 1998 and April 27, 1999 (the "Class Period"). The Class also includes purchasers of call options and sellers of put options. The Complaint names McKesson and certain of its officers for violations of the Securities Exchange Act of 1934. Specifically, the Complaint alleges that defendants issued a series of materially false and misleading financial statements regarding the Company causing McKesson's shares to be inflated artificially during the Class Period. On April 28, 1999, McKesson announced that due to the improper recognition of revenue from its software sales it would have to restate re·state tr.v. re·stat·ed, re·stat·ing, re·states To state again or in a new form. See Synonyms at repeat. re·state earnings for its fourth quarter and year end. Consequently, the price of McKesson's shares dropped by almost 50% for the day to close at 34 1/2 per share.
