The Company (OTCBB:BCHH) is unable to complete the transaction described in the form 8-K as filed on May 10, 2000.

The transaction has been restructured as a non-exclusive marketing agreement between ElawChina.com and Elawenglish(formerly ElawchinaBVI) eliminating any reference to future equity participation in ElawChina.com by Beach Couch, Inc. and any requirement for prepayment of licensing fees. Beach Couch, Inc. has canceled 20,000,000 shares of its common stock authorized for the acquisition of ElawChinaBVI and will issue one hundred thousand shares of its common stock to acquire 100% of the outstanding shares of Elawenglish in order to continue its ongoing marketing efforts under the terms of the new marketing agreement.

The Company announces that due to its efforts and contacts that it has developed in China, it has acquired 80% of the outstanding shares of VIPC Corporation in exchange for 20,000,000 million shares of its common stock. VIPC Corporation is a Delaware Corporation established as a joint venture with ChengDu Jiabin Electronic Technology Co., Ltd. to develop IP Telephony. Jiabin currently operates 8 IP PoP centers in major cities in Mainland China, billing approximately 4,000,000 minutes per month of international traffic and is licensed to open PoP centers in 7 additional Chinese cities. The Joint Venture is currently operating pager systems in Moscow and St. Petersburg and has applied for IP licenses in both cities. The Company's business plan calls for preliminary expansion in five additional Asian-Pacific countries this year.

The Company realizes that this transaction represents a major change in operating philosophy, but feels that due to the current market atmosphere, as it relates to non-income producing dot com companies, the benefits to the Company's shareholders justify the Board of Directors decision.
