Base Ten investor has 14% stake in common stock.

TRENTON, N.J.--(BUSINESS WIRE)--July 5, 1995--Base Ten Systems Inc. (NASDAQ:NMS BASEA) announced today that Jesse L. Upchurch, chairman and chief executive officer of Upchurch Corporation has filed two Schedule 13-D's with the Securities and Exchange Commission reflecting his ownership in the company.

In one of the filings, it was reported that Upchurch has sole dispositive power of 946,100 shares of the company's Class A Common Stock or 14.0% of the outstanding shares. 667,000 of these shares were purchased in the open market from June 13, 1995 through June 28, 1995 at an average price of $9.28 per share.

In a separate filing, Upchurch reported that he had acquired 53,900 shares or 11.8% of the outstanding Class B Common Stock. The purchases were made from June 13, 1995 through June 23, 1995 at prices ranging from $7.75 to $9.75 per share. All purchases of Upchurch's stake in the company were handled by the investment firm of Andrew Garrett, Farmingdale, N.Y.

In a prepared statement, Upchurch said, "My investment in Base Ten is for investment purposes and reflects my belief and that of my advisor that the Company's medical software technology provides an excellent investment opportunity at an attractive price as the Food and Drug Administration (FDA) moves to regulate medical software. I intend to follow Base Ten's progress and will consider increasing my position beyond 14% accordingly."
