Upchurch, chairman and chief executive officer of Upchurch Corporation has filed two Schedule 13-D's with the Securities and Exchange Commission reflecting his ownership in the company.

 power of 946,100 shares of the company's Class A Common Stock or 14.0% of the outstanding shares. 667,000 of these shares were purchased in the open market from June 13, 1995 through June 28, 1995 at an average price of $9.28 per share.

In a separate filing, Upchurch reported that he had acquired 53,900 shares or 11.8% of the outstanding Class B Common Stock. The purchases were made from June 13, 1995 through June 23, 1995 at prices ranging from $7.75 to $9.75 per share. All purchases of Upchurch's stake in the company were handled by the investment firm of Andrew Garrett, Farmingdale, N.Y.
