Barrack Rodos Files Suit Against Mercator Software, Inc. Alleging Misrepresentations.

PHILADELPHIA--(BUSINESS WIRE)--Sept. 8, 2000

Counsel for Class Plaintiff, Barrack, Rodos & Bacine, today issued the following:

Barrack, Rodos & Bacine announces that a class action lawsuit was filed on behalf of purchasers of the securities of Mercator Software, Inc. ("Mercator" or the "Company") (Nasdaq: MCTR) between April 20, 2000 and August 21, 2000, inclusive. The action is pending in the United States District Court, District of Connecticut, against defendants Mercator Software, Inc., Constance F. Galley (Chairman and Chief Executive Officer of the Company), Kevin McKay (former Chief Financial Officer) and Ira Gerard (former Vice President - Finance and former Chief Financial Officer).

The complaint alleges that defendants violated Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 and Rule 10b-5 promulgated thereunder, by issuing a series of material misrepresentations to the market between April 20, 2000 and August 21, 2000, thereby artificially inflating the price of Mercator common stock.

Specifically, the statements issued by the defendants, among other things, under-reported the Company's expenses, thereby falsely inflating its earnings in violation of Generally Accepted Accounting Principles. When the Company announced on August 21, 2000, after the close of the market, that it would be restating and lowering its earnings for the first and second quarters of 2000 to account for approximately $2.4 million of under-reported expenses, its stock fell approximately 20% when trading resumed the next day.

The Plaintiff seeks to recover damages on behalf of all purchasers of Mercator securities during the Class Period.
