Distribution and Provide Lycos With Fees and Ongoing Share of Each

Transaction

BarnesandNoble.com and Lycos, Inc. today announced the framework for a three-year partnership expanding both companies' surge into the electronic commerce market. This strategic alliance makes Lycos a flagship online partner for BarnesandNoble.com and demonstrates the online bookseller's strength in the competitive online book sales marketplace.

Under the terms of the agreement, the two companies will integrate content and technology extensively throughout their respective Web sites to promote the worldwide distribution of books online. Lycos, bringing BarnesandNoble.com visibility among millions of users worldwide, will feature fast and intuitive access to BarnesandNoble.com's comprehensive online ordering capabilities, receiving a percentage of the transaction in the process.
