The Company recorded net income of $13,102,930 (or .75 per share) for the second quarter. The net income for the quarter was the result of a one-time benefit from sales of marketable securities. Net income for the six months ended March 31, 2000 was $12,065,049 (or .70 per share). Revenues for the second quarter were $169,965 and $220,290 for the six months ended March 31, 2000. Since BarPoint began operations on June 3, 1999 there are no comparable results for the year earlier period.

Commenting on the results, John C. Macatee, President and CEO (1) (Chief Executive Officer) The highest individual in command of an organization. Typically the president of the company, the CEO reports to the Chairman of the Board. , stated: "While BarPoint continues to make excellent progress toward becoming the premier product information and shopping service, the net income achieved in the second quarter was primarily the result of gains on the sales of marketable securities. These timely sales allowed us to take advantage of a window of opportunity to substantially improve the financial position of the company."

As of March 31, 2000, BarPoint's financial position included $27.1 million in cash and $7.1 million in marketable securities. Subsequently, in April 2000, the company completed a private placement of common stock at a price of $12 per share, which resulted in additional proceeds of approximately $17.7 million. The company proposes using the net proceeds of the offering to provide capital for continued product development, advertising, enhancement of marketing efforts and general corporate purposes.

BarPoint enjoyed significant achievements with regard to its business development during the second quarter. In February, 2000, BarPoint added Computer hardware and Computer software to its product categories. Currently, seven product categories, including books, audio books, CD's, computer hardware, computer software, DVD's and videos are available on all BarPoint platforms, including wireless devices.

Also in February, BarPoint began announcing an expansion of its wireless capabilities with participation in the WAP Forum and an alliance with Motorola (NYSE NYSE

: MOT). In May 2000, the company also announced agreements with Verizon Wireless, the nation's largest wireless carrier, and OmniSky, a wireless provider for Palm and other devices. According to BarPoint Chairman Leigh M. Rothschild, "We have always been dedicated to delivering meaningful product-specific information anytime, anywhere. Our alliances with major manufacturers and carriers such as Motorola and Verizon will ensure that many of the nation's wireless consumers will have easy access to BarPoint's patent-pending reverse search technology."

The company further strengthened its management team during the second quarter, with the additions of John Macatee as Chief Executive Officer and President and Chuck Davis as Chief Technology Officer.
