This filing registers 5,302,211 shares of Barpoint.com's common stock for resale. The shares had been previously acquired by shareholders in private placement transactions. Barpoint.com will not receive proceeds from the resale of any stock registered under this filing, in the event these shareholders decide to sell.

The Company also announced that subsequent to the issuance of its financial statements for the year ended September 30, 1999, the Company's management determined that a product supply and technology licensing agreement with Symbol Technologies, Inc. was not properly valued on the Company's books. In August of 1999, the Company issued shares of common stock to Symbol in exchange for a combination of cash and a product supply and licensing agreement that allowed for purchase discounts on Symbol's SPT (Sectors Per Track) The number of sectors in one track.  1500 products, a Palm-style device with scanning capability, as well as the incorporation of BarPoint's software applications into the device. This agreement also made it possible for BarPoint to develop new applications for this hand-held device to enable consumers and businesses to scan UPC (Universal Product Code) The standard bar code printed on retail merchandise, which is administered by GS1 US, Brussels, Belgium and Lawrenceville, NJ (www.gs1.org).  codes and to use the BarPoint on-line product information and shopping service. At the time the stock was issued, in August 1999, no value was recorded for the product supply and licensing agreement.

As a result, the financial statements for the year ended September 30, 1999 and the quarters ended December 31, 1999 and March 31, 2000 have been restated from amounts previously reported to record the $1,500,000 value of the product supply and licensing agreement as an intangible asset Intangible Asset

There was no change in the reported loss for the year ended September 30, 1999; however, the financial statements for the quarters ended December 31, 1999 and March 31, 2000 have been restated to reflect the amortization of the $1,500,000 on a straight-line basis over twenty-two months commencing October 1, 1999. For the quarter ended December 31, 1999, the net loss increased by $93,909, or $0.01 per share basic and diluted, and for the quarter ended March 31, 2000 net earnings decreased $130,910, or $0.01 per share basic and diluted.
