When the formation is complete, the new holding company, Bancorp Rhode Island, Inc., will become the parent company of Bank Rhode Island. The change will have no effect on current customers or their accounts.

The formation must receive state and regulatory approval as well as shareholder approval. Once approved, shares in Bank Rhode Island automatically will be exchanged for shares in the new holding company.

Bank Rhode Island is a full-service, FDIC-insured financial institution headquartered in Providence. The bank operates 13 branches throughout Providence and Kent Counties. As of December 31, 1999, the Bank's total assets stood at $632.0 million and total deposits were $513.4 million. The bank's common stock is traded on the NASDAQ National Market under the symbol &uot;BARI.&uot;
