: BANGN) announced today that the offering period to purchase all of the outstanding shares of its 7% preferred stock Stock shares that have preferential rights to dividends or to amounts distributable on liquidation, or to both, ahead of common shareholders.

Preferred stock is given preference over common stock. Holders of preferred stock receive dividends at a fixed annual rate.
 (OTC: BANGN) for $115 per share expired on February 27, 2003 at midnight, Eastern Standard Time.

Following the expiration, the preliminary results of the shares tendered in the offering period totaled 17,634 shares (including 201 shares tendered subject to a notice of guaranteed delivery), representing approximately 70.5% of the outstanding shares of Bangor Hydro-Electric Company's 7% preferred stock immediately prior to the commencement of the offering on January 28, 2003. It is estimated that a total of 7,366 shares will remain outstanding following the expiration of the offering period.

Bangor Hydro-Electric Company has accepted for purchase and payment, all of the shares that were validly tendered in the tender offer. As a result of this tender offer, Bangor Hydro-Electric Company will now seek de-registration of its preferred stock.
