 VENTURE:BAH) today announced it has completed its private placement reported July 14, 2004.

Under the revised terms of the private placement financing, Balloch raised gross proceeds of $1,125,000 by issuing 4.5 million units at a price of $0.25 each. Each unit consisted of one common share of Balloch and one-half of one share purchase warrant. Each full share purchase warrant will entitle en·ti·tle
