Balloch Resources Ltd.: Private Placement Amended.

 VENTURE:BAH) today announced amendments to its private placement reported July 14, 2004.

In that report Balloch announced that it has reached an agreement to complete a non-brokered private placement financing under which it would issue up to 4.5 million units at a price of $0.18 each, subject to the approval of the TSX Venture Exchange TSX Venture Exchange

Originally called the Canadian Venture Exchange (CDNX), this was a result of the merger of the Vancouver and Alberta stock exchanges. The goal of TSX Venture Exchange is to provide venture companies with effective access to capital while protecting investors.

Under the revised terms of the private placement financing, Balloch will raise gross proceeds of up to $1,125,000 by issuing up to 4.5 million units at a price of $0.25 each. Each unit will consist of one common share of Balloch and one-half of one share purchase warrant. Each full share purchase warrant will entitle the holder to acquire one additional common share of Balloch at a price of $0.33 per share in the first year and $0.35 per share in the second year.

Balloch is a mineral exploration company with a 10% net profit interest in the El Molino mining concession owned by Lumina Lumina may refer to:
