"), through the issuance of 1,233,566 of Ballard's common shares in a transaction valued at US $35.8-million.

EBARA is subject to a minimum four-year hold period for these shares.

"We are focussed on optimizing the structure of our Power Generation Division to enable us to leverage product development investments across markets and enhance the development of commercial fuel cell generators."

BGS was formed in 1996 to commercialize PEM (Privacy Enhanced Mail) A standard for secure e-mail on the Internet. It supports encryption, digital signatures and digital certificates as well as both private and public key methods. Not widely used, work on PEM later evolved into S/MIME. Ballard's relationship with EBARA also continues through the jointly owned company EBARA BALLARD Corporation ("EBARA BALLARD"), based in Japan.

EBARA BALLARD has exclusive manufacturing and distribution rights for Ballard's fuel cell stationary power generators in Japan and is owned 51 percent by EBARA and 49 percent by Ballard. EBARA BALLARD is developing distributed power generation products for both residential and commercial customers.
