U.S. Microbics Inc. (OTCBB:BUGS) announced today that it has entered into a bilateral Letter Of Intent with Majestic SAFE-T-PRODUCTS Ltd. (MSPL) whereby BUGS will spin-off 70 percent of a newly-formed subsidiary to MSPL in a tax-free exchange for 30 percent ownership of MSPL.

BUGS have retained Investment Banking Services of Alexander & Wade of San Diego to coordinate the transaction.

Majestic SAFE-T-PRODUCTS Ltd. has three major products.
