BTG Invests in WheelGroup's Information Protection System.

 has agreed to pay $1.5 million in exchange for WheelGroup stock, convertible debt, and prepaid services. Under the terms of the agreement, BTG may convert a note into additional shares of stock for a potential 21% interest in WheelGroup. The agreement gives BTG the right to provide WheelGroup's information protection products and services to commercial markets, and the exclusive right to resell or distribute these products and services to the U.S. Government and to certain state and local governments.

In addition, the potential for loss increases as more confidential business and financial transactions are conducted over the Internet. WheelGroup's network security management system does just that."

WheelGroup President Toney Jennings said the agreement will extend the availability of WheelGroup's security products and services to BTG's extensive customer base in the federal market. He said government agencies as well as commercial firms will benefit from WheelGroup's NetRanger(TM) Information Protection Management System, which provides information protection for electronic data.
