BROCK CANDY SHAREHOLDERS APPROVE MERGER.CHATTANOOGA, Tenn.--(BUSINESS WIRE)--Nov. 1, 1994--Brock Candy Company (Nasdaq/NM:BRCK) today announced that its shareholders have approved a previously announced agreement to merge with Brach Acquisition Co. Pursuant to the merger transaction, which was consummated today, all of the stockholders of the Company are entitled to receive $20.00 in cash for each share of the Company held of record as of November 1, 1994. Brach Acquisition Co. was formed by affiliates of E.J. Brach Corporation ("Brach"). Letters of transmittal will be mailed to stockholders of Brock Candy Company this week, which, when properly completed, signed and returned to Trust Company Bank as the exchange agent, will entitle each stockholder to receive $20.00 per share of Brock Candy Company common stock. E.J. Brach Corporation and Brock Candy are now to be known as Brach and Brock Confections Inc.
