Industries Inc., Gunnar J. Vogel and Steven Johnston (the "Petitioners") alleging among other things that the directors are exercising their powers in a manner which is oppressive to the Petitioners and other shareholders. Brio Industries and Mr. Vogel are well known to the Company based on previous proceedings involving them and the Company.
