Feds tentatively OK Univision pact

Spanish-language broadcaster Univision Communications Inc. and Hispanic Broadcasting Corp. reached a tentative agreement with federal antitrust regulators Thursday, removing the largest snag in their proposed merger.

Los Angeles-based Univision, which owns 50 television stations nationwide, said last year it planned to expand into radio by buying Hispanic Broadcasting, which owns 63 radio stations, in an all-stock deal valued at $3.5 billion.

A sticking point was Univision's 27 percent ownership of Entravision, which owns 55 radio stations, many in the same markets served by Hispanic Broadcasting.

The tentative deal with the Justice Department requires Univision to convert its shares to nonvoting preferred stock Stock shares that have preferential rights to dividends or to amounts distributable on liquidation, or to both, ahead of common shareholders.

Economy gains, but then retreats

WASHINGTON - The economy's bumpy road to recovery was vividly seen Thursday in a trio of reports: Demand to factories for big-ticket goods posted the best showing in six months, but new-home sales plummeted and unemployment claims hit a two-month high.
