 BRAJDAS CORP. ANNOUNCES AGREEMENT TO AMEND TERMS OF MERGER
 SAN JOSE, Calif., April 2 /PRNewswire/ -- Brajdas Corp. (NASDAQ: BRJS) today announced that it has reached an agreement to amend terms of a previously announced merger agreement pursuant to which three privately held California corporations -- Proprom Inc., Koral International Corp. and Adlar Turnkey Manufacturing Corp. (collectively, the "ATMC Companies") -- would be merged into Brajdas.
 The amended merger agreement will provide that the stockholders of the ATMC Companies will receive 10,800,000 shares of Brajdas common stock as full consideration in the merger eliminating the previously agreed upon issuance of debt. As a result of the merger, the stockholders of the ATMC Companies will own approximately 49 percent of Brajdas common stock.
 As previously announced, the company had hoped to schedule an annual shareholder meeting by the end of February, at which time, among other matters, the shareholders would be asked to approve the merger. However, the amendments to the merger agreement, as well as the passage of time, require that the company resubmit its proxy to the Securities and Exchange Commission (SEC) along with updated financial information from all parties. The proxy material will be resubmitted shortly, and Brajdas intends to schedule an annual meeting of shareholders as soon as possible after the proxy material is available for distribution, at which time the shareholders will be asked to approve the merger.
 Brajdas is primarily engaged in the wholesale distribution of electronic components through its principal division, Cypress Electronics, which is based in Santa Clara, Calif. Brajdas maintains regional sales offices and warehouse facilities throughout the United States. The ATMC Companies are privately held companies principally engaged in the sourcing and procurement of electronic and electromechanical components as well as the integration of such components into finished value-added products. It is anticipated that after the merger Donald I. Zimmerman will remain as chairman of the board and Larry Mendoza, a principal officer of the ATMC companies, will become president and chief executive officer of Brajdas.
