All Issues Resolved; Decision Clears Way for Completion

of Boole & Babbage Merger

On Thursday, February 25, 1999, the Securities & Exchange Commission declared BMC Software's Form S-4 registration statement, filed in connection with the pending merger with Boole & Babbage, Inc., effective. Accordingly, Boole & Babbage has full approval to proceed with the mailing to its shareholders of the definitive proxy statement pertaining to its merger with BMC Software.

The Boole & Babbage shareholder meeting to vote on the merger will most likely be held on March 30, 1999 in San Jose at the Boole & Babbage headquarters.
