Biofarm will issue 2,300,000 shares of its Common Stock and will pay $350,000 in consideration of the acquisition of CCC. (the developer of the application and which it currently utilizes in other markets).

As part of the terms of the license agreement between CCC and Fulcrum, 35% of the revenue generated from the use of the software is paid to Fulcrum Inc.

We believe that this will lead to more activity and profitability for Ideal clients, insuring the long-term growth of Ideal, as well as adding an additional source of recurring revenue to Ideal.
