BIOFARM, INC. to Acquire Currency Charting Corp.

LINFIELD, Pa.--(BUSINESS WIRE)--Jan. 6, 2003

BIOFARM, INC. (OTCBB:BIOF) announced today the signing of a letter of intent to acquire Currency Charting Corp. ("CCC").

CCC provides tools for traders to assist them in the development of technical indicators to establish trading positions. These proprietary tools will be offered to users of the Ideal 4X Corporation ("Ideal") trading platform. Basic tools will be offered at no charge to Ideal clients; however, advanced tools are expected to be offered for additional fees.

In addition, Ideal will market such tools to other institutional traders in order to generate additional revenue. Ideal, a wholly-owned subsidiary of BIOF, will be the parent of CCC in order that all currency operations be combined in one entity.

The acquisition of CCC will enable Ideal to enhance the profitability of the clients on the Ideal trading platform and assist Ideal in maintaining a competitive advantage in the currency day trading marketplace. In addition, the acquisition will add experienced managerial personal to the BIOF management, board of directors and advisory board.

Biofarm will issue 2,300,000 shares of its Common Stock and will pay $350,000 in consideration of the acquisition of CCC. CCC currently holds a perpetual exclusive license to the software, which was acquired from Fulcrum Inc. (the developer of the application and which it currently utilizes in other markets).

As part of the terms of the license agreement between CCC and Fulcrum, 35% of the revenue generated from the use of the software is paid to Fulcrum Inc.

Biofarm expects to change its name to SOES FX, Inc, and will apply for a new trading symbol after its next shareholder meeting. Ideal intends to launch a new trading platform that will allow day traders, enterprise clients, banks and other financial institution to trade currency through an electronic platform.

The platform will be called S.O.E.S. Forex, which stands for Spot Order Execution System.

The currency market is the world largest market, regularly trading $2-4 trillion per day. Currently, the markets are dominated by the world's largest banks, and smaller participants are forced to accept large spreads between the bid and offer prices. Compared with equities, traders have several advantages, including but not limited to, greater leverage, greater liquidity and a 24-hour marketplace.

Ideal 4X will receive a fee for each transaction executed by its customers. The Company will not trade or speculate for its own account, and will utilize the services of regulated third parties for the handling of customer funds and to obtain liquidity for its customers.

Coincident with the acquisition of Ideal and entering into the agreement with CCC, BIOF will transfer certain of its prior, non-Ideal and CCC assets and liabilities to a newly-formed subsidiary. Shareholders of BIOF on the record date to be announced will retain their shares of BIOF Common Stock and will receive on a share-for-share basis shares in the new subsidiary.

The registration of the shares of the new subsidiary with the SEC will permit such new subsidiary to be publicly traded and to seek acquisition candidates. A special meeting of the BIOF shareholders will be held to change the name of BIOF and to elect Ideal and CCC nominees to the BIOF Board.
