BFI SPANISH AFFILIATE ACQUIRES SIX COMPANIES IN SPAIN; BFI FILES POST-EFFECTIVE AMENDMENT TO FORM S-4 REGISTRATION STATEMENT

HOUSTON, April 15 /PRNewswire/ -- Browning-Ferris Industries, Inc. (NYSE: BFI), today announced its 50 percent-owned Spanish affiliate, Browning-Ferris Industries Iberica, S.A. ("BFI-Iberica"), has completed the acquisition of a number of related solid waste companies in Barcelona with combined annual revenues of approximately $30 million. The acquired solid waste companies have residential collection, commercial and industrial collection and landfill operations. The acquisition allows BFI to increase its market share in Barcelona, expand the scope of its solid waste operations geographically in the Spanish province of Catalonia, enter the residential collection business in the Barcelona area, and internalize volumes already collected by other BFI subsidiaries in Barcelona.
To finance the acquisitions, BFI has agreed to invest additional equity capital in BFI-Iberica, which is the company's oldest international affiliate. As a result, BFI will increase its ownership in BFI-Iberica to 77.7 percent of the affiliate's voting common stock and begin financial consolidation of its operations.
To accomplish the transaction, BFI will issue one million shares of its common stock to BFI-Iberica, which in turn will sell the shares through Goldman, Sachs & Co. BFI today filed a Post-Effective Amendment to its Form S-4 Registration Statement with the U.S. Securities and Exchange Commission that includes the issuance of these one million shares after the Post-Effective Amendment has become effective.
In addition to its operations in Spain, BFI's business outside of North America includes operations in Australia, Finland, Hong Kong, Italy, New Zealand, the Netherlands, the United Kingdom and Venezuela.
Browning-Ferris Industries, Inc., is one of the largest publicly- held companies engaged in providing waste services. Subsidiaries and affiliates collect, transport, treat and dispose of commercial, residential and municipal solid waste and industrial wastes. BFI subsidiaries are also involved in recycling, resource recovery facilities and medical waste services.
