BFD REPORTS AGREEMENT TO PURCHASE MDC CORPORATION, PATENTS AND LICENSE AGREEMENT

 MARKHAM, Ontario, April 2 /PRNewswire/ -- BFD Industries Inc. (NASD Bulletin Board: BFDIF) today reported that it entered into an agreement to purchase all of the shares of MDC Corporation, a South Carolina sales and marketing consulting company owned by Marilyn Hutchens, for $233,000.
 BFD entered into an agreement with MDC for a term of 10 years, commencing Dec. 1, 1991, with MDC having the right to renew the agreement for an additional period of 10 years thereafter. MDC was to use its good faith and efforts to further the sales of BFD products for which it was to receive 2 percent of gross revenues derived from all medical industry sales by BFD and its affiliated companies.
 For the year ended Dec. 31, 1992, MDC was entitled to receive $101,000 pursuant to the agreement. Upon the closing of this transaction the agreement with MDC will be terminated and MDC is to be dissolved.
 BFD signed Marilyn Hutchens to a one-year consulting agreement worth $142,000.
 BFD also reported it entered into an agreement to acquire a license agreement for an Inflation Control for Air Supports Device and the patents for a Delta Foam Support System (Delta) from Marilyn Hutchens for an aggregate of $200,000. The license and patents relate to a line of therapeutic mattresses and overlays used in the prevention and treatment of pressure ulcers. BFD must pay a 3 percent royalty on all Delta and Inflation Control Device sales, up to a maximum of $250,000 per year, to Ms. Hutchens for a 10-year period.
 BFD is also obligated to pay a royalty of 2 percent of sales to each Dr. Thomas Krouskop and Daniel J. Schaefer, the co-inventors of the Delta Foam Support System, for the life of the patents. The patents expire in the year 2009. Sales and marketing of these new products will be the responsibility of Mr. Schaefer, who is now in charge of sales and marketing for all of BFD's products.
 These products will be an extension of the company's current line of therapeutics supplied by Alpha Pro Tech. The sales and marketing of these products will be handled out of BFD's offices in Atlanta.
 As part of the Delta agreement, BFD must sell $1 million worth of the product within two years of its first sale, and $1 million per year thereafter until the patents expire. If they do not attain these levels all rights revert back to Ms. Hutchens.
 BFD also has a royalty obligation in connection with the license agreement on the Inflation Control Device. The company must pay 6 percent of sales to the Research Development Foundation (RDF).
 Unless the company has Inflation Control Device sales of $500,000 in 1994, $750,000 in 1995, and $1,000,000 in 1996 and every year thereafter until the patents expire in 2008, the rights revert back to RDF.
 The above transactions are in escrow pending payment and the approval of the Vancouver Stock Exchange.
 BFD Industries manufactures and markets a full line of patented eye and face shield products and surgical shoe covers for healthcare, industrial, and consumer applications. The shields are optically clear, distortion free and anti-fogging. They are also disposable in order to eliminate any chance of cross contamination. BFD's Alpha Pro Tech unit manufacturers surgical and dental face masks, as well as medi-pads. BFD has manufacturing facilities in Birmingham, Ala., Salt Lake City, and Janesville, Wis.
