BELO SHAREHOLDERS RE-ELECT DIRECTORS AND APPROVE PROPOSALS AT ANNUAL MEETING.DALLAS--(BUSINESS WIRE)--May 3, 1995--A.H. Belo Corporation today announced that shareholders re-elected five Class III nominees to the Board of Directors to serve three-year terms. These directors are Judith L. Craven, M.D., M.P.H., a director since 1992 and president of the United Way of the Texas Gulf Coast; Dealey D. Herndon, a director since 1986 and executive director of the State Preservation Board of the State of Texas; Ward L. Huey Jr., a director since 1982, vice chairman of A.H. Belo Corporation and president of Belo's Broadcast Division; James M. Moroney Jr., a director since 1952 and former chairman and chief executive officer of Belo; and Hugh G. Robinson, a director since 1989 and chairman and chief executive officer of The Tetra Group. The company's shareholders also approved Belo's 1995 Executive Compensation Plan and a proposal to amend the Certificate of Incorporation certificate of incorporation n. some states issue a certificate to prove a corporation's existence upon the filing of Articles of Incorporation. In most states the Articles are sufficient proof. to remove the express denomination of Series A stock and permit the issuance of additional shares of Series B stock.
