BELL ATLANTIC AND AMERITECH COMPLETE NEW ZEALAND TRANSACTION

PHILADELPHIA, Sept. 30 /PRNewswire/ -- Ameritech (NYSE: AIT) and Bell Atlantic (NYSE: BEL) each sold approximately 112 million shares of Telecom Corporation of New Zealand (TCNZ) to two New Zealand companies under agreements initially entered into in 1990 when Bell Atlantic and Ameritech acquired TCNZ from the government of New Zealand.
The sale will not have a material effect on Ameritech's or Bell Atlantic's net income in the third quarter.
With the sale, Ameritech and Bell Atlantic have complied with their commitment to the New Zealand government to reduce their combined ownership of TCNZ to below 50 percent. Ameritech and Bell Atlantic each now own approximately 24.9 percent of TCNZ.
Bell Atlantic, based in Philadelphia, is the parent of telephone companies in New Jersey, Pennsylvania, Delaware, Maryland; Washington, D.C.; Virginia and West Virginia which provide a full array of local exchange telecommunications services in the mid-Atlantic region.
Bell Atlantic also is the parent of one of the nation's largest cellular carriers and of companies that provide software, systems integration, hardware and software service and support, and financial services throughout the United States and internationally. In addition to its holdings in TCNZ, Bell Atlantic International offers network services and consulting to telephone authorities throughout the world.
Based in Chicago, Ameritech is a leading supplier of full-service communications and advanced information services, primarily to about 12 million customers in the Midwest. It also has operations in New Zealand, Poland and other international areas. Its 1992 revenues were $11.2 billion.
In international markets, Ameritech is a major shareowner in TCNZ New Zealand Limited and in Polska Telefonia Komorkowa, which provides cellular service in Poland. It is a partner in the Norwegian firm NewCom GSM, which this week inaugurated service on the first privately supplied cellular communications system in Norway. Ameritech also is seeking international business opportunities in Europe, Latin America and the Asia Pacific region.
