) BCE Inc. today announced that at its annual and special meeting, its common shareholders approved a subdivision of the Corporation's common shares on a two-for-one basis. Articles of amendment will be filed later today.

It is expected that the common shares, which are listed on the Montreal, Toronto, Vancouver, New York New York, state, United States
New York, Middle Atlantic state of the United States. It is bordered by Vermont, Massachusetts, Connecticut, and the Atlantic Ocean (E), New Jersey and Pennsylvania (S), Lakes Erie and Ontario and the Canadian province of
, London and Swiss Exchanges, will commence trading on a post-split basis on Monday, May 12, 1997. On May 22, 1997, the Corporation's transfer agent, Montreal Trust Company, will mail to each registered holder of common shares at the close of business on May 14, 1997, a certificate representing one additional share for every share held at such time. Presently outstanding share certificates should be retained by the holders and should not be sent to BCE or to Montreal Trust.

Based on the number of BCE common shares currently outstanding, the subdivision will increase the number of shares outstanding from 317,968,067 to approximately 636 million shares.
