(TSX: IFM) today announced that it has closed the sale to Bell Canada of its eSecurity practice and the remaining intellectual property under its agreement with Bell Canada for Internet services, known as the Bell Legacy Contract. The total price for the sale of these assets and early termination of the Bell Legacy Contract was $45 million. Also, BCE Emergis and Bell Canada signed a five-year reciprocal preferred supplier agreement. These transactions were first announced on May 6, 2004 in connection with the sale of BCE Inc.'s interest in BCE Emergis which was completed on June 16. The BCE Emergis eSecurity practice which was sold relates to government and industry contracts for access, authentication and authorization services distributed by Bell and delivered by BCE Emergis.Other security-related services underlying BCE Emergis' electronic claims, lending and payment service delivery platforms and solutions remain within the company. The Bell Legacy Contract, which was a three-year agreement with Bell Canada for the distribution by BCE Emergis of Internet access services and extranet services to Bell's business customers, was to terminate on December 31 of this year. As a result of negotiations, the contract terminated on June 30, 2004. A reciprocal preferred supplier agreement was also signed whereby BCE Emergis is the preferred supplier for the provision of eFinance and eHealth services to Bell Canada and its subsidiaries, both for internal use and for resale. In turn, Bell Canada is the preferred supplier of telecommunications and other services comprised in Bell Canada's suite of enterprise products and services to BCE Emergis, both for internal use and for resale.
