 Holdings Inc., announced today that a $1,100,000 issue of units has been placed, privately, with Canadian institutional investors purchasing $957,600 of the issue and management of BCB acquiring $150,400.

He further advised that, "This placement comprised two closings, one for $386,600 on September 26, 1995 and one for $721,400 on November 1, 1995."

Mr. Murton reported that investors in this issue included Trillium Growth Capital Inc. and Xela Enterprises Limited. Trillium Growth is a labour-sponsored venture capital fund with a mandate to invest in Ontario businesses. Xela Enterprises is a private investment company with investments in Canada and abroad.

Mr. Murton stated, "Each unit is priced at $0.20 and comprises one common share of BCB holdings plus one two-year warrant to purchase one additional share at $0.40. Proceeds of this financing will be applied to accelerate the sales and marketing as well as the acquisition program of The BCB Technology Group Inc., the wholly-owned operating subsidiary An operating subsidiary is a business term frequently used within the United States railroad industry. In the case of a railroad, it refers to a company that is a subsidiary but operates with its own identity and rolling stock.  of BCB Holdings."

The BCB Technology Group develops, manufactures and distributes products and systems, based on its proprietary technology, that digitally record voice for storage in the customer's computer or computer network, making it immediately available for playback and transcription. The two principal markets for BCB's products and systems are digital dictation Digital dictation is a method of recording and editing the spoken word in real-time within a digital audio format.

Digital dictation offers several advantages over traditional cassette tape based dictation:

These computer-based products and systems include the PC-DART digital dictation family of products being sold to the legal, medical and general business dictation markets in the USA, Canada and the UK through a large and rapidly growing dealer network, the digital MURF MURF Materiel Utilization Reference File  (multiple unit recording facility) as recently installed in the Canadian House of Commons The House of Commons (French: Chambre des communes) is a component of the Parliament of Canada, along with the Sovereign (represented by the Governor General) and the Senate.  and COURTROOM-DART, a derivative of MURF, now being installed in a U.S. Judicial Circuit courthouse. All these products are highly competitive in the large markets they address.
