BBAN Executes Agreement To Acquire 100% Of National Internet Portal Network & ISP; Acquisition To Expedite High Speed Internet Network Implementation.

BroadBand Wireless International Corporation has executed an Agreement in Principle with Jarvis Entertainment Group, Inc., a Texas based ISP and national WebHosting operator, to acquire 100 % of Jarvis for cash and stock.

Jarvis Entertainment Group, Inc. develops and supports content-independent services that create a framework for website development and promotion for use on affiliated websites. Jarvis also owns WWWResourcesNetwork, an Internet web services provider and website developer. In addition, Jarvis owns and operates an Internet Service Provider (ISP) which currently has approximately 17,000 subscribers in Texas.

Within the past year of operations, the Jarvis Network (JN) has validated its business concept with tangible growth as reflected in the following figures: Jarvis hosts in excess of 86,000 Websites using Jarvis Network services. This clientele is primarily comprised of well established corporate and business customers. Jarvis' hosting activities generates more than 25 million hits (internet page impressions) per month, and is growing rapidly.

The Jarvis Group (including the Jarvis Networks) is ranked by PC Data On-Line in the Top 400 WebHosts internationally.

The executed agreement envisions an aggressive marketing campaign to be implemented over the next ninety (90) days jointly by Jarvis and BBAN for the rapid deployment of BBAN's High-Speed Wireless Internet Network. This joint effort will be executed by accessing Jarvis' Network's extensive client base and utilizing their extensive internet technical expertise.

In domestic markets, Jarvis will act as an important hub of BBAN's high speed network for the Southwestern Region, including Dallas and Houston markets, as well as a Hub for Central and South America.

Internationally, Jarvis now provides network services to Mexico and has agreed with the International Division to assist in the build-outs of high speed wireless networks in Venezuela, Nicaragua, Uruguay, Honduras, Argentina and Brazil.
