 BASE TEN SYSTEMS, INC. ANNOUNCES RIGHTS OFFERING
 TRENTON, N.J., Sept. 8 /PRNewswire/ -- Base Ten Systems, Inc., Trenton (NASDAQ-NMS: BASEA), announced today its commencement of a rights offering to holders of its Class A Common Stock, Class B Common Stock and Class A Common Purchase Warrants.
 Under the offering, the company will issue to holders of record on Sept. 8, 1992, Series A Rights to purchase shares of Class A Common Stock at a price of $3 per share on the basis of one Series A Right for every five shares of Class A Common Stock held, one such Right for every five shares of Class B Common Stock held, and one such Right for every five Class A Common Purchase Warrants held. Additionally, to the extent a holder exercises Series A Rights, he will receive Series B Rights which may be exercised for additional shares of Class A Common Stock at a price of $6 per share on the basis of one Series B Right for every Series A Right exercised. The Series A Rights will expire Nov. 9, 1992, subject to extension by the Underwriter for up to an additional 30 days. The Series B Rights will expire 24 months after the expiration of the Series A Rights offering.
 Shamrock Partners, Ltd. is acting as Underwriter in connection with the offering and has agreed that if Rights to purchase at least 500,000 shares of Class A Common Stock have not been exercised prior to the expiration of the Series A Rights, the Underwriter will purchase shares of Class A Common Stock from the company sufficient to assure issuance by the company of at least 500,000 shares and the receipt by the company of gross proceeds of at least $1,500,000. First Chicago Trust Company of New York is serving as rights agent.
 The closing price of the Class A Common Stock on Sept. 4, 1992, as reported on NASDAQ, was $3 7/8.
 Base Ten Systems has been primarily engaged, historically, in the business of designing and manufacturing weapons control systems for both the U.S. Department of Defense and its contractors and for several foreign nations. Reflecting changes in the defense business and the worldwide recession, the company has initiated a program to develop new, non-military products and has closed or restructured all of its operations. Since the latter part of fiscal 1990, the company has implemented new product development in the areas of medical software, portable memory engines (miniature electronic assemblies into or from which data can be written or read out without physical contact) and secure communications.
