BANKAMERICA'S $350 MILLION 6 PERCENT SENIOR NOTES RATED 'AA-' BY FITCH
 -- FITCH FINANCIAL WIRE --
NEW YORK, Aug. 19 /PRNewswire/ -- BankAmerica Corp.'s newly issued $350 million of 6 percent senior notes, due July 15, 1997, are rated 'AA-' by Fitch. The credit trend is stable.
The April 1992 merger with Security Pacific Corp. (SPC) represented the largest banking combination in U.S. history. Yet, selected operating and balance sheet ratios covering BankAmerica's capital, margins, adjusted overhead, and asset quality measurements at the end of 1992s second quarter were not materially different than those posted for it alone at the end of 1991. This simple observation calls attention to BankAmerica's disciplined management style and attention to detail, vital components when structuring and implementing the SPC acquisition.
Coupling BankAmerica's months of acquisition planning, including the critical issuance of new capital, with important guidance to Security Pacific in the restructuring of its earning assets, the attendant results illustrate the strategic prowess of senior management. BankAmerica demonstrated the ability to channel its formidable resources into the formulation and initiation of a concise operating plan for what was not only the largest banking merger in U.S. history, but, more importantly, one made more complex by essential differences between the two institutions, e.g., culture and lending practices to cite just two.
It was a superb accomplishment for BankAmerica to have completed this massive transaction in late April 1992 and then maneuver its ratios by June 30 to track closely with its already strong year-end 1991 ratios. This is indicative-of-and-a-prelude-to the tough minded strategic decisions that are expected to generate more than the $1.25 billion in annualized overhead expense savings projected by the corporation for 1994.
